LEAVE AND LICENSE AGREEMENT


THIS AGREEMENT OF LEAVE AND LICENCE is made and executed on at Between:

, and , having its registered office situated at hereinafter called “the Licensors” (which expression shall unless it be repugnant to the context or meaning thereof mean and include her respective heirs executors and administrators) of the One Part;

AND

, aged , residing at , having ID Card No. issued by , having its registered office situated at hereinafter called “the Licensee” (which expression shall unless it be repugnant to the context or meaning thereof mean and include its successors in title and assigns) of the Other Part;

WHEREAS the Licensor is an absolute owners of the premises situated at and accordingly absolutely entitled to use, occupy, possess and enjoy the said premises;

AND WHEREAS the Licensee has approached the Licensors and has requested the Licensor to let out to it, the Licensee, the said premises on leave and license basis, which the Licensor has agreed to do on certain terms and conditions mutually agreed upon by and between them;

AND WHEREAS the parties hereto are desirous of recording the said terms and conditions;

NOW THIS WITNESSTH AND IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

1. GRANT OF LICENSE

  a. The Licensors shall grant unto the Licensee and the Licensee hereby accepts from the Licensors a license to use and occupy the office premises situated at (hereinafter called “the licensed premises”) on leave and license basis.

  b. In consideration of the Licensor permitting the Licensee to use and occupy the licensed premises on leave and license basis, the Licensee shall pay to the Licensor a sum of Rs. (Rs. only) per month as and by way of license fee and/or compensation for the use and enjoyment of the licensed premises.

2. TERM OF LICENSE

  a. The duration of the license hereby granted shall be for a period of () years 0){ echo $term_months; ?> () Months commencing from the date the Licensor puts the Licensee in possession of the licensed premises and the said period shall be hereinafter referred to as the “License Term”. 3. LOCK IN PERIOD

  a. The Licensee shall have a lock in period of months before which the termination is not possible by either parties. If either parties terminates the license during the lock in period, then they shall pay a sum equal to two license fee to the other party.

4. RENEWAL

   a. Renewal at the end of the LICENSE TERM shall be at the option of both the parties. In the event, the Licensee intends to exercise its option to renew this License Agreement, the Licensee shall give to the Licensor a notice in writing of its intention so to renew this License Agreement. Such notice shall be deemed to have been served on the Licensor by the Licensee unless a notice of intention to vacate the Premises is given in writing by the Licensee to the Licensor () months prior to expiry of the License period or termination.

  b. In the event the Licensee has exercised its option to renew this License agreement as specified herein above; the Licensor shall execute a fresh License Agreement in favor of the Licensee at the cost and expenses of the Licensee. All such further / fresh License Agreement and the renewed License transaction shall be completed within a period of thirty (30) days from the date of expiry of the LICENSE TERM under this License Agreement and in such interim period the Licensee shall be allowed to continue to occupy the premises as the licensee thereof.

5. ESCALATION

  a. 6. OTHER CHARGES:

  a. In addition to the aforesaid payment of the said sum of Rs /- (Rs. – Only) per month , the Licensee shall also be bound and liable to pay directly electricity charges for the electricity consumed in the licensed premises as per the separate meter installed for the purpose.

  b. The Licensee shall also be bound to pay the Society / Association’s maintenance towards common maintenance charges like lighting, sweeping, security, water pumping, bore-well, parking etc.

  c. All other charges including Municipal taxes / Gram Panchayat Taxes and Auda Charges shall be borne by the Licensor.

7. SECURITY DEPOSIT

  a. The Licensee has deposited with the Licensor a sum of Rs. /- (Rs. Only) by : dated as Refundable, interest free Security Deposit (hereinafter referred to as “Security Deposit”).The said Security Deposit shall not carry any interest and the said amount will be refunded back by the Licensor against vacating the premises and clearing all the outstanding towards electricity whichever applicable as per the agreement and producing the copies of payments made to the concerned authorities to the Licensor.

8. LICENSEE’S CONVENANTS:

 The Licensee hereby covenants with the Licensors as under:

  a. To pay to the Licensors the license fee and/or compensation payable under this Agreement at the time and in the manner provided hereinabove without any deduction and without challenging the same in any court of law or forum as not being standard license fee and/or compensation payable in respect of the licensed premises;

  b. To bear and pay electricity charges for the electricity consumed in the Licensed premises;

  c. To use the licensed premises for the purpose of office purpose only and for no other purpose;

  d. To keep the licensed premises in good and tenantable order and condition (reasonable wear and tear excepted);

  e. To hand over to the Licensors the possession of the said premises in the same order and condition as it was when the Licensee is put in possession of the Licensed premises but subject to what is stated hereinafter;

  f. Not to sub-let or give on leave and license basis or on any other basis the said premises or any part portion thereof nor the Licensee permit any one to use and occupy the said premises or any part or portion thereof;

  g. Not to damage in any way the walls, partition, walls, flooring and ceiling of the said premises or any of the Licensors fixtures, fittings and articles installed lying and being in the said premises and to keep the same in good order and condition (reasonable wear and tear and loss or damage by fire, accident, irresistible force or act of God excepted);

  h. The Licensee shall not carry out any work of structural alteration in or about the said premises or any portion thereof;

  i. To make good to the Licensors any loss or damage that may be caused to the said premises or any other fittings, fixtures, articles or property of the Licensors therein as a result of negligence on the part of the Licensee, its servants employees agents customers visitors and/or other persons calling at the said premises in connection with the business of the Licensee or otherwise howsoever and such loss or damage shall be ascertained by the Licensors and be binding on the Licensee;

  j. To indemnify the Licensors against any loss or damage that may be suffered as a result of breach of any of the provisions herein contained or otherwise due to any act or conduct of the Licensee its staff, employees, servants and agents to the said premises.

9. LICENSOR’S CONVENANTS

 The Licensors hereby covenants with the Licensee as follows :-

  a. To observe and perform all the terms and conditions and stipulations of all documents under which the Licensors derive title to the office premises;

  b. To permit the Licensee to use and occupy the licensed premises without any hindrance or obstruction of any nature whatsoever as long as the Licensee pays the licence fee and or compensation as hereinabove provided and observes and performs all the terms, conditions and covenants contained;

  c. To permit the Licensee to install further furniture and fixtures in the licensed premises in order to suit to its purpose ;

  d. To comply with the conditions laid down by the owners and to indemnify the Licensee and keep the Licensee indemnified from and against any breach;

  e. Not to create charge mortgage or encumbrance in respect of the said premises or any part of portion thereof;

  f. Not to sell, transfer or assign the Licensors’ ownership rights in respect of the licensed premises to any person or party so as to adversely affect the rights of the Licensee to the licensed premises and the Licensee’s right to purchase the licensed premises as hereinafter provided.

  g. That the Licensor shall pay the property tax and any other tax or assessment payable on the Premises to the Municipal Corporation or any other statutory or Government authority in accordance with Clause no. 5 mentioned herein above.

  h. The Licensor hereby indemnifies and agrees to keep indemnified the Licensee saved defended and harmless from and against all and any costs, expenses, charges, outgoings damages and risks at all times arising out of any suit, eviction, action, claim or demand whatsoever in relation to the titles of the Premises and all covenants, representations and warranties made by the Licensor

10. The Licensee shall permit the Licensors and their agents at all times to enter upon the said premises in order to view, survey and examine the state and condition of the said premises.

11. It is the express intention of the parties hereto that the Agreement shall be a mere License, the use and occupation by the Licensee being restricted for the purpose of using the said premises on the terms and conditions contained in the license.

12. TERMINATION

  a. () month notice from either side will be sufficient to terminate this agreement after the expiry of the lock-in period and on such termination, the Licensee shall hand-over the vacant possession of the premises back to the Licensor and further in the event of default by the Licensee in respect of any of the covenant contained herein, the licensor shall forfeit the security deposits of the licensee.

13. The Licensor shall not in any manner deal with or dispose of the Premises or any part thereof or their interest therein during the continuance of the LICENSE TERM to or in favour of any person except after informing such transferee of this License Agreement and so that the rights of the Licensee hereunder are not prejudiced, jeopardized or adversely effected. In the event that the Licensor deals with or disposes or sells or transfer the Premises or any part thereof or any interest therein during the continuance of the License Agreement to or in favour of any person or entity, the Licensor shall cause the transferee to execute the License Agreement with the Licensee on the same terms and conditions as set forth herein.

14. JURISDICTION

Any dispute relating to this License Agreement shall be subject to jurisdiction of Courts at _______________.

15. NOTICE

  Any notice required to be given hereunder shall be sufficiently served on the Licensors, if forwarded by Registered Post A.D. to the Licensors aforementioned address and on the Licensee if forwarded by Registered Post A.D. to the Licensee’s aforementioned address and notice sent by post as aforesaid shall be deemed to be given at the time when in due course of post it would be delivered at the address to which it is sent.

16. AMENDMENT

  No modifications or amendments of this License Agreement and no waiver of any of the terms or conditions hereof, shall be valid or binding unless made in writing and duly executed by both Parties

17. WAIVER

  No waiver or acquiescence of any breach, or any continuing or subsequent breach of any provision of this License Agreement shall be construed as a waiver of any right under or arising out of this License Agreement or acquiescence to or recognition of any right and/or any position other than that expressly stipulated in the License Agreement.
